DMS Partners' execution model for M&A operations is divided into three main phases: Valuation, Market and Negotiation.
Phase 1: Assessment
The 4 main activities summarized are:
1. Complete analysis: Financial, administrative, commercial, operational and corporate.
2. Pre Due Diligence: When necessary.
3. Assessment and Strategy: Company value (Valuation) and definition of the strategy for the M&A project.
4. Decision of ''GO'' or ''No GO'' by the Client and DMS, considering the value and effective viability of the operation.
The main deliverables during this Assessment phase are:
Economic value assessment report (Valuation), with economic-financial modeling, assumptions for projection and results.
Communication material (Teaser and Infomemo).
Phase 2: Market
The 4 main activities summarized are:
1. Strategic Definition: Approach to the market and the communication system.
2. Identification of potential Investors with guaranteed confidentiality (NDAs).
3. Presentation and alignment meetings for potential investors, collecting and analyzing data from interested parties.
4. Selection: Analyze, recommend and define the best partner/investor, to ensure the continuity of the process.
The main deliverables during this Market phase are:

Phase 3: Negotiation
The 4 main activities summarized are:
1. Negotiation and Initial Agreement: Conduct negotiation with the selected investor and sign a Memorandum of Understanding (MOU) (formalizes the intentions and key points of the transaction).
2. Due Diligence and Preparation: Make the company's information available for Due Diligence, guarantee the confidentiality of the data and advise the company during the analysis, conducted by independent auditors hired by the investor.
3. Detailed Negotiation: Conduct the final negotiation of the terms of the purchase or sale contract, including the discussion of values, deadlines,
responsibilities, guarantees and adjustment clauses and with the support of specialized lawyers.
4. Closing the Transaction: Ensure that all precedent conditions are met, as well as the signing of definitive contracts (prepared by a law firm hired directly by the client), formalizing the Merger and Acquisition (M&A) transaction.
The main deliverables of the Negotiation phase are:
